Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the organisation you represent ("Customer", "you") and Lyfe Asia Sdn Bhd (Company No. 202501000001), a company incorporated in Malaysia ("Lyfe Digital", "we", "us").

By creating an account, accessing our platform at lyfedigital.my, or using any of our APIs or services ("Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Description of Services

Lyfe Digital provides an enterprise agentic AI platform that enables organisations to build, deploy, and monitor autonomous AI agents. Services include but are not limited to:

• Agent Builder and Orchestration Engine
• Multi-model LLM routing and inference infrastructure
• Observability, logging, and audit dashboards
• API access and webhook integrations
• Managed deployment options for on-premise or cloud environments

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable advance notice where feasible.

3. Accounts & Access

You must create an account to access most of our Services. You agree to:

• Provide accurate and up-to-date registration information
• Maintain the security of your credentials and not share them with unauthorised parties
• Notify us immediately at admin@lyfedigital.my of any suspected unauthorised access
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend accounts that we reasonably believe to be compromised or in violation of these Terms.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or any code designed to disrupt or damage systems
• Circumvent access controls, authentication mechanisms, or rate limits
• Generate, distribute, or store content that is defamatory, harassing, obscene, or otherwise unlawful
• Reverse-engineer, decompile, or attempt to extract our source code or model weights
• Resell or sublicense access to the platform without a written reseller agreement
• Use the platform in any manner that could harm minors

Violation of this section may result in immediate suspension or termination of your account.

5. Intellectual Property

All rights, title, and interest in the Lyfe Digital platform, including software, documentation, trademarks, and AI models, remain exclusively with Lyfe Asia Sdn Bhd. Nothing in these Terms transfers any intellectual property rights to you.

You retain all rights to the data and content you submit to the platform ("Customer Data"). By submitting Customer Data, you grant us a limited, non-exclusive licence to process it solely to provide the Services.

Feedback, suggestions, or ideas you provide about the Services may be used by us without restriction or obligation to compensate you.

6. Your Data

We treat your data in accordance with our Privacy Policy. Key commitments:

• We do not use your Customer Data to train our AI models without your explicit consent
• We implement technical and organisational measures to protect your data
• Upon termination, we will delete or return your data within 90 days of your request

Enterprise customers with specific data residency requirements may request a Data Processing Agreement (DPA) from our team.

7. Fees & Billing

Fees are described in your applicable subscription plan or Order Form. Unless otherwise stated:

• Subscriptions are billed monthly or annually in advance
• All fees are in Malaysian Ringgit (MYR) unless a different currency is specified in your Order Form
• Fees are non-refundable except as required by law or where expressly stated in our refund policy
• We may adjust pricing with 30 days' written notice before your next renewal term
• Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower

8. Confidentiality

Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information (no less than reasonable care), and not to disclose it to third parties without prior written consent. Confidential Information does not include information that is publicly known, independently developed, or rightfully received from a third party without restriction.

9. Warranties & Disclaimers

We warrant that the Services will perform materially in accordance with our documentation. We target a monthly uptime of 99.9% for production environments, as detailed in our Service Level Agreement (available upon request).

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUTS ARE PROBABILISTIC AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE WITHOUT HUMAN REVIEW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYFE DIGITAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.

11. Termination

Either party may terminate these Terms by providing 30 days' written notice. We may terminate or suspend your access immediately upon written notice if you materially breach these Terms and fail to remedy the breach within 14 days of notice.

Upon termination, all licences granted to you cease, and you must stop using the Services. Clauses that by their nature should survive termination (including confidentiality, IP ownership, and limitation of liability) will remain in effect.

12. Governing Law & Disputes

These Terms are governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Selangor, Malaysia.
